Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at mortarweb.com (the "Site") and the design, development, automation, and support services (the "Services") offered by Main Street Web ("Main Street Web," "we," "us," or "our"). By using the Site or engaging us, you agree to these Terms. If you do not agree, do not use the Site or our Services.
1. Who we are
Main Street Web is a web design and automation studio based in Milwaukee, Wisconsin, serving local businesses. A separate written proposal, quote, or agreement ("Project Agreement") may govern a specific engagement; if there is any conflict, the Project Agreement controls for that engagement.
2. Quotes and estimates
Prices shown on the Site, and any figures produced by our instant-estimate or assistant tools, are non-binding ballparks for general guidance only. They are not an offer. A binding price is set only in a written quote or Project Agreement we provide to you.
3. Pricing, payment & the care plan
- Build fee: a one-time fee as stated in your written quote, due as set out there (e.g., a deposit to begin and the balance before launch).
- Care plan: a recurring monthly fee covering hosting, security, monitoring, updates, and a reasonable amount of monthly edits, billed in advance each month.
- Cancellation: you may cancel the care plan at any time, effective at the end of your current billing month; fees already paid are non-refundable except as required by law. If the care plan ends, hosting and maintenance stop, but you keep your site files and domain (see Section 5).
- Late or non-payment: we may pause work or suspend hosting on overdue accounts after reasonable notice. You are responsible for fees, and for any third-party costs (e.g., domain, premium plugins) disclosed to you.
4. Your responsibilities
- Provide timely content, feedback, and approvals so we can meet timelines.
- Ensure you own or have the right to use any text, images, logos, or other materials you give us, and that they do not infringe anyone's rights or break any law.
- Keep your account credentials and domain/registrar access secure.
- Use the Site and Services lawfully (see Section 8).
5. Intellectual property & ownership
Your site. Upon full payment of the applicable build fee, you own the final website deliverables we create specifically for you (your custom design, page content, and the assembled site files), and your domain remains registered in your name.
Our materials. We retain ownership of our pre-existing tools, code, frameworks, components, templates, and know-how, and grant you a license to use them as part of your site. Third-party assets (fonts, stock images, plugins) remain subject to their own licenses.
Portfolio. Unless you ask us in writing not to, we may display your project and a link to it in our portfolio and marketing.
6. Third-party services
The Site and your project may rely on third-party services such as hosting, domain registrars, form and email providers, scheduling tools, and analytics. These are governed by their own terms, and we are not responsible for their availability, performance, or actions. We will use commercially reasonable efforts to choose reputable providers.
7. No guarantee of specific results
We work hard to build fast, modern, conversion-focused sites and to set up your online presence well. However, we do not guarantee specific outcomes — such as particular Google rankings, search positions, traffic levels, leads, or sales — because those depend on many factors outside our control (including search-engine algorithms, competition, your market, and how you run your business).
8. Acceptable use of the Site
You agree not to misuse the Site, including by attempting to breach security, scrape or overload it, introduce malicious code, or use it for unlawful purposes. We may suspend access for misuse.
9. Disclaimers
To the fullest extent permitted by law, the Site and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the fullest extent permitted by law, Main Street Web and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Site or Services will not exceed the amount you paid to us for the Services giving rise to the claim in the three (3) months before the event. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Main Street Web and its owner from claims, damages, and reasonable costs arising out of content or materials you provide, your use of the Site or Services, or your breach of these Terms or applicable law.
12. Termination
Either party may end an engagement as set out in the Project Agreement. We may suspend or terminate access to the Site or Services for non-payment, misuse, or legal reasons. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law & disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. The state and federal courts located in Milwaukee County, Wisconsin will have exclusive jurisdiction, and you consent to that venue.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the current version. Continued use of the Site after changes means you accept the updated Terms.
